Affiliate Agreement

1. Program Overview
This Affiliate Agreement ("Agreement") governs your participation in the Exprezzzo Affiliate Program ("Program"). By enrolling in the Program, you agree to be bound by these terms. The Program allows you to earn commissions by referring customers who complete verified bookings through the Exprezzzo platform.
The Program operates a three-level referral structure. You may earn commissions on bookings made by your direct referrals (L0), their referrals (L1), and one additional level (L2). The Program is free to join and requires no purchase or inventory.
2. Eligibility & Enrollment
To participate in the Program, you must:
- Be at least 21 years of age
- Be a legal resident of the United States
- Provide accurate and complete registration information
- Accept these terms and the FTC disclosure requirements
- Not have been previously terminated from the Program
Exprezzzo reserves the right to approve or reject any application at its sole discretion. Enrollment is subject to identity verification. Providing false information is grounds for immediate termination.
3. Commission Structure
Commissions are structured as follows:

| Extended | Referrals of your team affiliates | 5% of the service fee |
Service Fee Pool: Commissions are calculated on the service fee charged by Exprezzzo, not on the total amount paid by the guest.
Company Floor: Exprezzzo retains a minimum of 37% of the service fee pool. If an upline position is vacant, that commission goes to the company (it is not compressed to the next level).
Maximum Depth: The Program is limited to 3 levels. No earnings are generated beyond the extended tier.
Pay-at-Venue Restriction: Select venue categories operate on a pay-at-venue basis and do not process online payments. Earnings tracking for these bookings uses venue-confirmed check-in rather than online payment capture.
4. Payment Terms
- Earning Trigger: Commissions are earned when a referred guest completes a verified booking (check-in confirmed by venue or payment captured by Stripe).
- Hold Period: All commissions are subject to a 7-day hold period before becoming available for payout.
- Minimum Payout: The minimum payout threshold is $25.00 USD.
- Payment Method: Payouts are processed via Stripe Connect. You must complete Stripe onboarding to receive payouts.
- Processing Time: Payouts are processed within 1-2 business days after request.
- Chargebacks: If a booking is refunded or charged back, the associated commission will be deducted from your balance.
- Taxes: You are responsible for reporting and paying all applicable taxes on your commission earnings. Exprezzzo will issue a 1099-NEC for earnings exceeding $2,000 in a calendar year.
5. Affiliate Obligations
As a Program participant, you agree to:
- Promote Exprezzzo honestly and accurately
- Comply with all applicable laws and regulations
- Follow FTC disclosure requirements (see Section 7)
- Maintain accurate and current account information
- Not engage in any prohibited practices (see Section 6)
- Respond to compliance inquiries within 5 business days
- Keep records of all promotional activities
6. Prohibited Practices
The following practices are strictly prohibited and may result in immediate termination:
- Making income claims, earnings guarantees, or lifestyle promises
- Spam, unsolicited messaging, or bulk email marketing without consent
- Misleading advertising or deceptive marketing practices
- Bidding on Exprezzzo brand terms in paid search advertising
- Creating websites or social profiles that could be confused with official Exprezzzo channels
- Manipulating referral tracking (cookie stuffing, self-referrals, click fraud)
- Promoting Exprezzzo on adult content platforms without prior written approval
- Offering unauthorized discounts, rebates, or cashback incentives
- Violating any venue partner's terms or misrepresenting partnerships
- Using automated tools or bots to generate referrals
7. FTC Compliance
You must comply with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255). Specifically:
- Every promotional post must include "Ad" or "Sponsored" prominently and early in the content
- Disclosure must be clear, conspicuous, and not buried in hashtags or fine print
- You must disclose your material connection to Exprezzzo before any call to action
- Video content must include verbal and visual disclosure
- You must link to the Income Disclosure Statement when discussing earnings
Exprezzzo may audit your promotional activities at any time. Failure to comply with FTC requirements may result in suspension or termination without notice.
8. Intellectual Property
Exprezzzo grants you a limited, non-exclusive, revocable license to use the Exprezzzo name, logos, and approved marketing materials solely for the purpose of promoting the Service in compliance with this Agreement. You may not modify, alter, or create derivative works from Exprezzzo's intellectual property without prior written consent.
9. Termination
Either party may terminate this Agreement at any time. Exprezzzo may terminate your participation immediately and without notice for violation of these terms or any applicable law.
Upon termination: (a) all rights granted under this Agreement cease immediately; (b) you must remove all Exprezzzo marketing materials and referral links; (c) outstanding commissions above the minimum payout threshold will be paid within 30 days, subject to the hold period; (d) commissions below the minimum threshold are forfeited.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPREZZZO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM. EXPREZZZO'S TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Clark County, Nevada.
